Chief Legal Officer
In your role as Chief Legal Officer you will be Head of the team of lawyers based in the UK providing English law advice to the Euroclear group with principal client EUI, the United Kingdom and the Irish CSD.
The role will oversee the work of the UK legal team, providing senior legal advice and expertise, acting as lead lawyer on group projects and acting as EUI’s principal legal adviser with overall responsibility for providing direction and oversight of all legal matters affecting EUI.
You report to the Chief Executive Officer and Group General Counsel (functional reporting). You will attend EUI Management Committee, Risk and Operating Committee.The job holder is also member of the Legal Division Management Team.
The function establishes and maintains the Legal function and Legal framework.
You will manage the UK Legal Team.
Reviewing, negotiating and drafting legal documentation relating to the operation of the settlement system (and related systems), contracts, SLAs and other legal documentation with third parties.
Monitoring and communicating legal or regulatory requirements and providing legal interpretation and applicability assessments (‘Legal Watch’).
Reporting on legal matters to EUI MC, Board and Euroclear Group.
Informing the CRO of legal risks together with the associated mitigating actions in accordance with EUI’s Risk Management methodology.
Managing legal resources to make sure that legal advice is delivered to a high quality and on a timely basis.This includes sourcing and managing external legal counsel and managing legal counsel budget.
Perform oversight and management of legal activities undertaken by ESA for EUI.
Provision of legal services to other group entities and acting as lead lawyer on group projects when required.
Own the legal framework applicable in the UK.
Manage conflicts of law.
Promote and defend EUI’s interests in internal or external legal and regulatory matters.
Participate in go/no go meetings in respect of system change.
Other management responsibilities are:
Provide input into strategic thinking and represents EUI or the Euroclear Group at stakeholder committees, where relevant.
Provide legal advice and guidance to senior management and EUI Board and Committees, as appropriate.
Collating legal related Management Information and written reports to senior management and relevant EUI committees, as appropriate.
Responsible for management of owned policies.
Required to identify and manage conflicts of interest.
Implementing compliance and risk requests in the Legal Team
Implementing audit actions for Legal Team (as agreed with the Audit Team)
Responsible for ensuring adequate infrastructure and staffing (internal and outsourced) is in place:
Lead and manage staff, including ensuring sufficient levels and expertise of resource .
Set appropriate behavioural expectations of staff and a professional culture where staff act with integrity in line with corporate values.
Accountable for oversight and management of outsourced providers.
Provide information on key projects and business as usual services to EUI management.Includes factors such as costs, schedule and risk.
Act as a good steward of EUI resources and budgets.
Education & Experience
Have solid in-house legal experience from a reputable comparable business.
